So all you need to do is establish what those private rules are, that your bloke knew of them and agreed to them, and whether they have been broken.

No, because we are discussing the principle.
But looking at your point, the relevant question (at least in terms of the CMA) is whether he was authorised to do what he did.
Does it matter whether he knew of the rules when he ought to have known? Is agreement to the rules of administration implied by accepting the role of administrator?
