Authorised Signatory or not?

If two parties, where one is an established company, and the other is a company not yet incorporated, enter into an agreement (pre-incorporation contract), and it is later revealed that the individual who signed on behalf of the not yet incorporated party was not director and was in fact not an RLE or PSC but a distant shareholder, would that individual qualify as an authorised signatory? Would the contract be void or would the parties remain bound by the agreement?

The signatory may be personally liable if the company is not.

Take a look at s 51 Companies Act 2006.
